Lawyer Board Member (Volunteer)

DESIRED BOARD MEMBER PROFILE: LAWYER Community Habitat Programs Inc. Position Overview Community Habitat Programs Inc. seeks an experienced, community-minded attorney to serve as a volunteer member of its Board of Directors. The selected attorney will help guide a growing 501(c)(3) nonprofit organization dedicated to rehabilitating distressed properties, expanding access to safe and affordable housing, and strengthening neighborhoods through responsible development and community partnerships. This is a strategic governance position rather than a routine volunteer assignment. The attorney will participate in Board-level oversight, policy development, risk management, organizational growth, and the development of a credible and replicable community-revitalization model. The Opportunity Meaningful Legal Impact With Visible Community Results The attorney will have an opportunity to apply legal judgment to projects that can produce tangible results, including restored homes, safer residential properties, expanded housing opportunities, and stronger neighborhoods. The attorney may advise the Board concerning: •Property acquisitions, donations, dispositions, and title matters; •Rehabilitation and construction agreements; •Municipal and public-private partnerships; •Government and foundation grant requirements; •Vendor, contractor, consultant, and professional-service agreements; •Nonprofit governance and regulatory compliance; •Risk management and insurance considerations; •Donor restrictions and charitable gift agreements; •Conflicts of interest and related-party transactions; and •Policies protecting the organization, its beneficiaries, and its charitable assets. The attorney would not be expected to serve as counsel in every legal matter. The primary role is to bring legal perspective to Board decisions, identify risks requiring specialized counsel, and help CHP establish sound governance and compliance practices. Strategic Leadership, Not Routine Volunteer Work The attorney will serve as a voting member of the Board and help influence: •Organizational policy; •Ethical and governance standards; •Strategic planning; •Program expansion; •Property-development priorities; •Financial and legal controls; •Municipal and institutional partnerships; •Board development; and •CHP’s long-term expansion throughout Pennsylvania and potentially other communities across the United States. The attorney’s judgment can help CHP demonstrate the organizational readiness, accountability, and legal discipline expected by government agencies, foundations, banks, major donors, and community partners. Professional Visibility and Relationship-Building Board service provides an opportunity to build meaningful professional relationships with: •Municipal and county officials; •Government agencies; •Foundations and philanthropists; •Banks and community-development financial institutions; •Developers and real-estate professionals; •Contractors, architects, and engineers; •Housing and neighborhood organizations; •Business and civic leaders; and •Residents and community stakeholders. The attorney may also strengthen their professional reputation as a leader committed to affordable housing, responsible development, nonprofit governance, and neighborhood revitalization. Preferred Legal Experience CHP welcomes attorneys from a variety of legal backgrounds. Preference may be given to candidates with experience in one or more of the following areas: •Nonprofit and tax-exempt organization law; •Real-estate transactions; •Municipal or local-government law; •Land use, zoning, or code enforcement; •Affordable housing or community development; •Construction and contractor agreements; •Commercial contracts; •Grants and government contracting; •Employment law; •Risk management and insurance; •Charitable giving and estate planning; or •Corporate governance and compliance. Experience in every area is not required. Candidates should be willing to help CHP identify when outside or specialized legal counsel is necessary. Desired Qualifications The ideal candidate will: •Be an attorney in good standing, preferably licensed in Pennsylvania; •Support CHP’s affordable-housing and neighborhood-revitalization mission; •Exercise independent judgment and fulfill fiduciary duties to the organization; •Understand the distinction between Board governance and daily management; •Be comfortable reviewing policies, contracts, transactions, and organizational risks; •Communicate complex legal concerns clearly to nonlawyers; •Respect confidentiality and comply with CHP’s conflict-of-interest policy; •Participate constructively in strategic discussions; •Help strengthen CHP’s credibility with funders and institutional partners; and •Be willing to serve as an ambassador for the organization. Expected Commitment The attorney should be prepared to: •Attend regular Board meetings, generally quarterly or as established by the Board; •Review meeting materials in advance; •Participate in at least one Board committee or special project; •Provide governance-level legal insight; •Disclose and avoid conflicts of interest; •Assist with selected introductions or partnership opportunities when appropriate; and •Support responsible fundraising and organizational development. Estimated average commitment: approximately three to six hours per month, with occasional additional time for significant transactions or organizational initiatives. Volunteer Status This is an unpaid volunteer Board position. Reasonable expenses may be reimbursed in accordance with CHP’s policies and available resources. Board membership does not automatically create an attorney-client relationship between the attorney or the attorney’s law firm and Community Habitat Programs Inc. Any formal legal representation or professional engagement must be separately approved and documented. Real Estate Professional (Volunteer)

DESIRED BOARD MEMBER PROFILE: REAL ESTATE PROFESSIONAL Community Habitat Programs Inc. seeks an experienced, community-minded real estate agent or broker to serve as a volunteer member of its Board of Directors. The ideal candidate will have knowledge of residential property values, distressed-property acquisition, neighborhood market conditions, property disposition, and relationships within the real estate and community-development sectors. Meaningful real estate impact with visible community results The real estate professional would help Community Habitat Programs Inc. identify viable properties, evaluate neighborhood market conditions, estimate potential property values, and advise on the acquisition, rehabilitation, leasing, or sale of distressed homes. Their expertise would directly support the transformation of neglected properties into safe, affordable housing and productive community assets. A strategic leadership role, not routine volunteer work Board service would allow the real estate professional to help shape property-acquisition strategies, project feasibility standards, neighborhood expansion plans, and responsible housing policies. Their practical market knowledge could help CHP make informed decisions, reduce acquisition risks, and develop a credible and replicable neighborhood-revitalization model. Professional visibility and relationship-building Serving on the Board can strengthen the real estate professional’s community profile and create meaningful relationships with municipalities, redevelopment authorities, banks, foundations, developers, contractors, property owners, investors, and civic leaders. The role also provides an opportunity to demonstrate a commitment to affordable housing, neighborhood improvement, and socially responsible real estate development. Preferred Qualifications The preferred candidate should possess several of the following qualifications: •An active Pennsylvania real estate salesperson or broker license; •Experience with residential sales, investment properties, distressed properties, foreclosures, tax sales, or redevelopment projects; •Familiarity with New Kensington, Westmoreland County, Allegheny County, or the greater Pittsburgh housing market; •Knowledge of comparative market analyses, property valuation, title issues, zoning, inspections, and rehabilitation considerations; •Established relationships with brokers, lenders, appraisers, contractors, municipalities, or community-development organizations; •An understanding of fair housing and ethical real estate practices; •A willingness to attend Board meetings, participate in committee work, and assist with strategic property evaluations; and •A demonstrated commitment to community service and neighborhood revitalization. Potential Board Contributions The real estate professional may assist CHP by: •Identifying distressed or underutilized properties; •Preparing or reviewing comparative market analyses; •Evaluating acquisition and resale feasibility; •Advising on neighborhood market trends; •Connecting CHP with property owners and real estate professionals; •Supporting municipal and redevelopment partnerships; •Reviewing proposed property transactions for reasonableness; •Helping develop responsible leasing or disposition strategies; •Serving on a Property Acquisition and Development Committee; and •Promoting CHP’s mission within the regional real estate community. The Board member would not receive commissions, referral fees, or preferential access to CHP transactions because of Board service. Any separate professional engagement would require full disclosure, recusal, independent Board review, and compliance with CHP’s conflict-of-interest policy.
